ADOPTING THE ANTI-CORRUPTION CODE OF CONDUCT

CE-1014

Business integrity contributes to the Group’s reputation. Behaving appropriately with its stakeholders is considered to be of utmost importance.

The Code of Conduct is designed to guide business conduct and provide practical advice, examples and links to other useful information.

• It will be intended for all of the Group’s staff, members of executive and steering committees and company managers.
• It will define the principles staff must respect as part of their professional activities.
• It supplements the rules, procedures and standards defined in each country and to which employees must continuously refer.
• Anyone acting on behalf of the Group will be expected to comply with this code of conduct, whatever the location or nature of their work.
• The Group will ensure that its partners share the same values.

The detailed Code describes the basic rules concerning the following topics in particular:

• Gifts, matters of courtesy and hospitality, entertainment
• Specific rules for public officials
• Donations to charitable or political organisations
• Patronage, sponsorship
• Facilitating payments
• Hiring third-party oversight

However, no one document can cover and foresee all cases of corruption liable to occur within the context of Group employees’ daily activities. This Code does not excuse failure to use your own judgement or demonstrate good sense. If you are unsure of how to proceed, the Group will provide you with support tools and advice.

Adhering to the Code of Conduct is a condition of employment for all of the Group’s employees; no violations will be tolerated. The Code will be provided to all employees joining our Group and distributed to all staff. Each staff member must read, understand and follow it. Employees are aware that serious consequences could arise from violating the Code of Conduct for both our Group and themselves.
Insofar as any misbehaviour or failure to respect the rules in the Code is liable to seriously harm our image and cause financial losses, employees must demonstrate extreme caution with regard to following the rules set out in the Code.
